in my ongoing drama of musicmatch jukebox/itunes/ipod, ive developed the need for an mp3/id3 batch resampler(renamer would be nice too), got tired of DLing tons of crap that didnt do what i wanted, or couldnt figure out etc..

any good freeware, or crackable programs like this than anyone can reccomend?

Nero bitrates are teh suck...mp3+ is garbage. Even EZ CD Creator has a better built-in audio-to-mp3 converter, with bit-rates up to 320kbps. Is there anything out there that is better? I am using EZ CD Creator at the moment, but wouldn't mind osme input on what else is out there.

EAC - Exact Audio Creator

It's freeware and is great. Grab that, and grab the latest version of the LAME mp3 encoder (also free) and off you go. freedb support and all that jazz.
